Richard has almost thirty years of business and management experience having worked with firms in the in a variety of industries and business sectors – with a passion in the technology and sports segments.
Richard was previously for more than fifteen years a principal and co-owner of a local fee-for-service consultancy firm in Vancouver. Richard has almost twenty years of experience working in the areas of valuation, litigation support, mergers & acquisitions and capital formation. He has more than ten years of actual management experience in the technology industry where he held various positions in technical support, marketing, project manager, channels management and senior management positions. Prior to focusing on expanding and diversifying his practice area, Richard was extensively involved in the high technology sector in Western Canada and the U.S. Pacific Northwest where he served for two years as the General Manager of Sidus Systems Inc. At Sidus he was directly responsible for managing the firm’s C$15 million business operation throughout Western Canada and the Pacific Northwest.
Previous to this, Richard spent almost nine years with Digital Equipment of Canada Limited where he was involved in a technical support, sales, marketing, project management and eventually channels management capacity.
Richard has been actively involved in the above professional services with hundreds of companies and has served as a Board Member for a select number of public and private firms. His area of professional expertise is in middle market and micro-cap technology and industrial companies, especially firms needing advice and assistance with their business plans, operating plans and valuations.
Richard has directly and personally conducted more than 1,000 valuations, business assessments and plans for technology & industrial companies. He also trained, supervised and managed a small group in his previous firm produce due diligence, valuation and business planning reports. He has directly undertaken work used on and relied upon by private companies, public companies and regulatory bodies in Canada, the United States, Europe and Asia. He has undertaken valuation and expert report work for submission to the Courts in British Columbia, Alberta, Ontario and Australia.
Richard also has extensive and direct experience in undertaking investment banking activities with many companies. He has been directly involved in a number of “go-public” and related Canadian Capital Pool Corporations, as well as other U.S public company transactions. He has personally directed and completed a number of large domestic and international M&A transactions involving complex negotiations.
Richard is extensively involved in sports coaching management and volunteer work throughout B.C. helping young adults and volunteer associations.

Brian has 25 years experience as a Business Consultant and Advisor providing sales, marketing, business planning, financing and risk management solutions and services to private and public companies.
Brian contracts his services to Companies sourcing and arranging capital through equity, debt, bridge, angel investors, financing forums and other sources of financing, and assists companies in the going public process. Brian has extensive experience with the Capital Pool Company (“CPC”) program provided by the Toronto Stock Exchange Venture (“TSXV”) representing both the CPC and the Qualifying Transaction companies through the provision of a Business Plan, Business Valuation, Fairness Opinion, assistance with Share Structure and other Services to ensure a successful Reverse Take Over (‘RTO”) that is fair to all shareholders.
Brian was the President and Director of Technology Growth Partners Corp. a Capital Pool Company, which traded on the TSX Venture Exchange “TSXV” whose qualifying transaction, was VantagePoint Systems, Inc. symbol “VPG” which was listed on the TSXV from 2002 until 2008 when is was acquired by Solar Soft Systems Inc. a portfolio company of Marlin Equity Partners LLC.
Brian served as an Account Manager and Insurance Broker providing sales, marketing, and financial solutions to Private and Public emerging growth Companies with Aon Reed Stenhouse, a leading international commercial insurance broker. He holds a Certified Risk Management (CRM) diploma from The Insurance Institute of Canada and the Risk and Insurance Management Society Inc. in Vancouver, British Columbia. Brian also holds a Business Administration Diploma from Red River Community College in Winnipeg, Manitoba.

Mr. Haley brings over thirty-five years of management experience from a diverse range of business sectors which include: energy, project management, public companies, financial securities, corporate compliance, directorship, and sales and marketing.
Mr. Haley has served as Executive Chairman, Chief Operating Officer, Interim President & CEO, and as a member of the Board of Directors of Power Air Corporation since September 2005. He is also the founder of the HDH Group, a technology acquisition and development company based in New York, and has been the Chairman and CEO of Power Air Tech, Inc. since 1999.
From 1995 through 1999, Dean served as a Division Vice President of Orange and Rockland Utilities, Inc. in New York. Prior executive postings included his serving as the founder and President of Compass Resources, Inc. from 1996 to 1999, and as a former executive with Bechtel from 1980 to 1995.
Over a highly accomplished career spanning nearly three decades, Dean has focused on acquiring or developing new technologies and technology companies offering products and services to the power and energy industries. He is a graduate of the Cal State University Fullerton where he earned Bachelors of Arts degree in Business Administration. Mr. Haley is active in a number of civic and political endeavors. He currently is a Member of the Board of Directors of Tri-Valley Business Counsel in the Livermore Valley area in California, and has served as an Industrial & Commercialization Partner with Lawrence Livermore National Laboratory, Board Member for Strategic Planning of Electric Power Research Institute (EPRI), Member of Board of Directors for Pascack Valley Hospital in Westwood, NJ, Member of the National Board of Directors Partnership for Environmental Technology Education (PETE) for Community Colleges & Universities, Board Member & VP for Independent Living Resources Center of San Francisco, and Member of Saint Mary’s Hospital Advisory Board in San Francisco.
Mr. Haley currently resides in Livermore, CA and Nashville, TN and is a native of Tennessee.
